These Terms of Service (the "Terms") govern your access to and use of the website at https://finray.tech/ and any platform, software, or service made available by Finray Technologies Ltd ("Finray", "we", "us", "our") to you or your organisation. By accessing the site or executing a written order form that references these Terms, you agree to be bound by them.

1. Identity of the provider

Finray Technologies Ltd is a private company limited by shares, incorporated in the Republic of Cyprus under company number HE 445903, with registered office at 115 Griva Digeni, Trident Centre, 3101 Limassol, Cyprus.

2. Eligibility and intended audience

Our platforms and content are intended for use by regulated financial institutions, their service providers, and their professional advisers. The website is not directed at consumers within the meaning of EU consumer-protection law and is not a solicitation or offer to provide regulated financial services in any jurisdiction.

3. Acceptable use

You agree not to:

• copy, reproduce, modify, or distribute any part of the website or our materials except as expressly permitted in writing;
• reverse-engineer, decompile, or attempt to derive source code from any platform binary or hosted service we make available;
• use the website or any service to transmit malicious code, spam, or content that infringes third-party rights;
• attempt to access accounts, data, or systems for which you are not authorised;
• scrape, frame, or systematically extract content for resale or republication.

4. Platform services and order forms

Where you procure access to a Finray platform (Corebanq, Ordinis, XZiel, or related solutions), the specific commercial and operational terms — including licensed scope, deployment topology, service levels, support windows, and fees — are set out in a separately executed order form, master services agreement, or statement of work. In the event of conflict between these Terms and a signed order form, the order form prevails for the platform service in question.

5. Intellectual property

All intellectual property in and to the website, the platforms, the documentation, and the related know-how is owned by or licensed to Finray. No transfer of ownership occurs by virtue of your access to the website or your use of a platform under licence. The Finray, Corebanq, Ordinis, and XZiel marks are trademarks of Finray Technologies Ltd; the underlying platforms operate under separate per-product licence agreements.

6. Confidentiality

Where you receive non-public information from Finray (including platform architecture, integration interfaces, draft contractual terms, or deployment plans), you agree to treat that information as confidential, to use it only for the purpose for which it was disclosed, and to apply at least the same standard of care you apply to your own confidential information of equivalent sensitivity, but in any case not less than a reasonable standard.

7. Privacy and data processing

Finray's processing of personal information collected through the website is described in our Privacy Policy. Where Finray processes personal data on behalf of a client in connection with a platform engagement, that processing is governed by our Data Processing Agreement, which forms part of the executed order form.

8. Disclaimer of warranties

The website and its content are provided "as is" and "as available" without warranty of any kind, whether express, implied, or statutory, including without limitation any warranty of merchantability, fitness for a particular purpose, accuracy, or non-infringement. Nothing on the website constitutes regulatory, legal, financial, or compliance advice.

9. Limitation of liability

To the fullest extent permitted by applicable law, Finray will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunity, arising out of or in connection with your access to or use of the website. Liability arising out of a separately signed platform agreement is governed exclusively by that agreement and is not limited by these Terms.

10. Third-party links

The website may contain links to third-party sites (including status.finray.tech, partner sites, and certification bodies). Finray is not responsible for the content, availability, or practices of those sites. Inclusion of a link does not imply endorsement.

11. Suspension and termination

Finray may suspend or terminate your access to the website, without notice, where we reasonably consider that continued access poses a security, legal, or reputational risk. Termination of access does not affect any rights or obligations that, by their nature, are intended to survive termination.

12. Changes to these Terms

We may revise these Terms from time to time. The current version is always available at /legal/terms and is identified by the version date shown above. Continued use of the website after the revised Terms take effect constitutes acceptance of the revisions.

13. Governing law and venue

These Terms are governed by the law of the Republic of Cyprus. Subject to any contrary provision in a separately signed platform agreement, the courts of Limassol, Cyprus have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the use of the website.
